iCRE PRO WEBSITE TERMS OF USE

1. Introduction and Acceptance
These Terms of Use (these "Terms") govern access to and use of the iCRE Pro website located at icrepro.com and any related content and application functionality (collectively, the "Site") operated by I-CRE Holdings, Inc., a Florida corporation and a Florida-licensed real estate brokerage ("iCRE," "we," "us," or "our"). By accessing the Site, browsing content, or submitting an application, you agree to be bound by these Terms and by our Privacy Notice.
2. What the Site Is
The Site is a marketing and application-intake site for the iCRE Pro certification program. It provides information about the iCRE Pro program, allows visitors to learn about I-CRE Holdings, Inc. and its affiliated platform, and allows qualified real estate professionals to apply for iCRE Pro certification. The Site does not itself provide brokerage services, execute transactions, host a software platform, or offer any subscription, product, or paid service.
3. iCRE Brokerage Identity
I-CRE Holdings, Inc. is registered with the Florida Department of Business and Professional Regulation as a real estate brokerage. Joe Endry is the licensed Broker for I-CRE Holdings, Inc. in Florida. Brokerage coverage in other states will be provided through I-CRE Holdings, Inc.'s state-specific licensing structures where established. Any brokerage services are provided under separate written agreement and are not created by use of the Site.
4. Certification Program Overview
The iCRE Pro certification program is a program under which qualified real estate professionals may become affiliated with iCRE as iCRE Pros. Program participation is subject to a separate written agreement between the applicant and I-CRE Holdings, Inc. and to iCRE's eligibility, licensing, and background criteria. Submission of an application does not itself create any relationship with iCRE, does not guarantee acceptance into the program, does not create any employment or independent-contractor relationship, and does not create any brokerage or agency relationship with iCRE.
5. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Site. Applicants must hold or be eligible to hold applicable real estate licensure in the state(s) where they intend to operate. If you use the Site on behalf of a company or other entity, you represent that you are authorized to act on its behalf.
6. No Account; What the Site Collects
The Site does not require or provide user accounts, logins, or passwords. If you submit an application, the information you provide is collected and used as described in the Privacy Notice.
7. Site Content; No Reliance
Marketing content on the Site, including descriptions of the iCRE Pro program, expressed or historical compensation examples, demand-volume information, availability information, and testimonials, is provided for informational purposes only. Site content is not a guarantee of any specific outcome, income, opportunity, or transaction. Individual results depend on many factors including applicable state licensing structure, market conditions, and individual effort and qualifications. Any specific commercial terms applicable to a certified iCRE Pro are set forth in a separate written agreement.
8. Testimonials
Testimonials appearing on the Site reflect the experience of specific individuals and are not representative of the experience of all iCRE Pros. Additional information regarding the source of any testimonial and any material connection between the individual and iCRE is disclosed with the testimonial where required by law or applicable guidance.
9. Intellectual Property
The Site and its content, including the iCRE and iCRE Pro marks and related branding, are owned by iCRE or its licensors. Except as expressly permitted, you may not copy, reproduce, distribute, or create derivative works from the Site or its content. No license to use iCRE marks is granted except by separate written agreement.
10. Acceptable Use
You agree not to (a) submit false, misleading, or unlawful information; (b) impersonate any person or entity; (c) access the Site by any automated means (bots, scrapers, crawlers) except as we expressly permit; (d) attempt to interfere with the security or integrity of the Site; or (e) use the Site in violation of any applicable law.
11. Third-Party Links and Content
The Site may reference or link to third-party sites, content, or services. iCRE does not control and is not responsible for third-party content or the practices of third-party operators. Sponsored content or content provided by a third party is identified as such where required by law or applicable guidance.
12. Disclaimers
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. iCRE MAKES NO REPRESENTATION OR WARRANTY REGARDING ANY SPECIFIC OUTCOME, INCOME, OPPORTUNITY, OR TRANSACTION RESULTING FROM ANY USE OF THE SITE OR PARTICIPATION IN THE iCRE PRO PROGRAM.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, iCRE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. iCRE'S AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
14. Indemnification
You agree to indemnify, defend, and hold harmless iCRE and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your breach of these Terms, (b) any content you submit through the Site (including any application), or (c) your violation of any law or third-party right.
15. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.
16. Dispute Resolution; Class Action Waiver
Any dispute arising out of or relating to these Terms or the Site will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Escambia County, Florida. USERS WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.
17. Modifications
iCRE may modify these Terms from time to time. The updated version will be posted with a new Last Updated date. Continued use of the Site after the update constitutes acceptance of the modified Terms.

19. Miscellaneous
These Terms constitute the entire agreement between you and iCRE regarding the Site and supersede all prior agreements regarding the Site. If any provision is unenforceable, the remaining provisions will remain in effect. Failure to enforce any right is not a waiver. Headings are for convenience only.
